Here you will find the general terms and conditions of CONETIS GmbH: Conditions of sale and delivery 1. The seller's offer is not binding without his confirmation of the customer's order. The general and special conditions of the seller are recognized by the order processing. 2. Unless otherwise stated, the prices offered are in €, the goods are to be paid for in Horb a. N. and delivery is ex warehouse Horb am Neckar 3. All taxes and customs duties, in addition to the sales price, are borne by the buyer. 4. Unless otherwise agreed, the cost of delivery will be borne by the customer. Any complaints must be made by the customer himself. Any interference by the seller is pure benevolence and is in no way considered a concession. 5. The orderer's order cancellations prior to dispatch of the goods will not be accepted, unless due to verifiable errors or oversights by the seller. The seller has the right either to refuse any cancellation or to charge the customer with an amount of 50% of the goods to be invoiced. 6. Complaints about missing goods and / or goods that are not in accordance with the order must be communicated to the seller in writing, registered form within 10 (ten) days after receipt of the delivery, otherwise the legal claim will expire. Complaints about missing goods - in the case of small parts - cannot be accepted if they make up less than 3% (three) in the case of large deliveries. Defective goods must be recognized as such by the seller's quality control. The seller reserves the right to place orders according to customer specifications, even if the required number of pieces has not been fully achieved. The above-mentioned complaints will only be accepted if previous evidence is provided that the fault lies with the seller. In any case, the seller's fault is limited to a free replacement of the goods. If a replacement is not possible, remuneration will be made in the amount of the sales price of the defective, complained or missing goods. 7. Returns of rejected goods can only be made with prior written confirmation. 8. Seller guarantees that the goods delivered and the service conform to its written specifications and drawings. The same applies to custom-made products according to the customer's specifications, which must be confirmed in writing by the seller in advance. The seller's only obligation under the aforementioned guarantee is to provide a free delivery of replacement goods of the same quantity or, at the seller's discretion, to repair the goods at the place of receipt, but in both cases without any obligation on the part of the seller for dismantling and installation. The customer undertakes to refrain from the expansion until the seller has communicated his choice in writing. The seller excludes all express or tacit obligations - for whatever reasons or circumstances, physical damage, loss or material damage, direct or indirect, resulting from the use or the impossible use. 9. The seller keeps the buyer free from all claims against third parties in the case of convictions of patent rights and the use of trademarks for goods that are manufactured by the seller or his group and according to the customer's specifications and components or that have arisen through incorrect use. 10. Invoices are payable within 30 days. Unless otherwise agreed, no discount will be granted. 11. Invoices that have not been paid on the due date will be charged with an interest surcharge of 1% per month, without formal confirmation. 12. The seller reserves the right of ownership for all goods delivered until the agreed sales price has been paid in full or, if bills of exchange are accepted, until they have been redeemed. The customer can process and sell the goods in the ordinary course of business. However, he is not entitled to pledge the goods to third parties or to transfer them as security before payment has been made in full. The purchaser must notify the seller immediately of any pledging of the goods by third parties. 13. The place of fulfillment and jurisdiction is Horb a. N. The seller reserves the right to choose any other location permitted by law. 14. Article 13 remains valid for all bills of exchange drawn by the seller for the payment of his invoices; Novations are expressly excluded. 15. Invoices are sent electronically. A paper dispatch is possible on request for an additional charge of 2, - €. SPECIAL AGREEMENTS Part of the set-up costs can be invoiced to the customer once and irrevocably. Payment does not give any right to property.
